1. Acceptance of Terms

By accessing and using the Cercalia platform and its associated web services ("Services"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our Services.

These Terms apply to all users of the Services, including without limitation users who are browsers, developers, customers, merchants, and/or contributors of content.

2. Description of Services

Cercalia provides geolocation and mapping services including, but not limited to:

• • Interactive mapping APIs with customizable styles

• • Routing and navigation services for multiple vehicle types

• • Geocoding and reverse geocoding services

• • Address search and autocomplete suggestions

• • Point of Interest (POI) management and search

3. Account Registration and API Keys

To use our Services, you must register for an account and obtain API credentials. You agree to:

• • Provide accurate, current, and complete information during registration

• • Maintain and promptly update your account information

• • Maintain the security of your API keys and passwords

• • Accept responsibility for all activities under your account

• • Notify us immediately of any unauthorized use or security breach

4. License and Usage Rights

Subject to your compliance with these Terms, Cercalia grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You may not:

• • Resell, redistribute, or sublicense the Services without written permission

• • Use the Services to create a competing product or service

• • Reverse engineer, decompile, or disassemble any part of the Services

• • Remove, obscure, or alter any proprietary notices

• • Use the Services for illegal, fraudulent, or malicious purposes

5. Usage Limits and Quotas

Your use of the Services is subject to usage limits based on your subscription plan. These limits include:

• • Monthly API request quotas

• • Rate limits (requests per second/minute)

• • Storage limits for custom POIs and data

Exceeding your plan limits may result in service interruption or additional charges. We reserve the right to throttle or block requests that exceed reasonable usage patterns.

6. Payment and Billing

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Fees are charged in advance on a monthly or annual basis and are non-refundable except as required by law.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

7. Data Ownership and Privacy

You retain all rights to the data you submit to the Services (such as custom POIs and user content). By using our Services, you grant Cercalia a license to use, process, and store your data solely to provide the Services.

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to the practices described therein.

8. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and data compilations, are the exclusive property of Cercalia or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

9. Service Availability and Support

While we strive to maintain high availability, we do not guarantee that the Services will be uninterrupted or error-free. We may suspend access for maintenance, updates, or emergency repairs without prior notice.

Technical support is provided according to your subscription level. Response times and support channels vary by plan.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Cercalia does not warrant that the Services will meet your requirements or that the operation will be uninterrupted or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERCALIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may terminate your account at any time by contacting support or through your account dashboard. Upon termination, your right to use the Services will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
